Status of Agreement是股東協議(Shareholder Agreement)的一般性條款，譯為“協議的法律地位”。
1、If, at any time, any provisions of the Articles conflict with any provision of this Agreement, the provisions of this Agreement shall prevail as between the Shareholders. In such circumstances the Shareholders shall procure that such modifications as are necessary are made to the Articles.
若在任何時間章程的任何條款與本協議的任何條款衝突，股東之間應以本協議的規定為準。在此情況下，股東應促使對章程作出必要修改。

1. If any provision in the Constitutionconflicts with any provision of this Agreement, this Agreement shall prevail (but as between the Shareholders only to the exclusion of the Company) and the Shareholders will use their respective powers to amend theConstitution accordingly.
章程的任何規定與本協議的任何規定存在衝突的，應以本協議為準(該規定僅適用於股東，不適用於公司)，並且股東應運用各自的權力對章程作出相應修改。
2. The Shareholders shall, whennecessary, exercise their powers of voting and any other rights and powers theyhave to amend, waive or suspend a conflicting provision in the Constitution tothe extent necessary to permit the Company and its Business to be administeredas provided in this Agreement.
股東應在必要時行使其表決權及其擁有的任何其他權利和權力，變更、放棄或暫停執行章程中存在衝突的規定，以便能夠依照本協議規定的方式管理公司及其業務。
